Fair terms (plain English)
- Deferral window: Up to 12 months from start date
- Trigger to pay: Closing of your Seed round (priced equity)
- If no Seed: Fees are waived.
- Equity: Small advisory-style equity to share risk (typ. 0.25%–0.5% vesting over 12 months via restricted stock or warrant; negotiable)
- Scope limits: Up to 10 employees; add-ons (AP/AR cleanup, multi-entity, backbooks) quoted if needed
FAQ
What counts as a “Seed round”?
A priced equity round led by institutional or professional angels or VCs. SAFEs/notes don’t trigger payment unless you prefer.
What if I raise a bridge or extend my pre-seed?
No problem. The deferral continues until a priced Seed, or the 12-month cap—whichever comes first.
Can I qualify if I already have revenue?
This plan is designed for pre-revenue. Light revenue? Apply anyway—we sometimes approve edge cases.
What if I have >10 employees?
We can support you, but this specific plan caps at 10 employees. We’ll quote a parallel plan if you’re bigger.
What happens after 12 months if I don’t raise?
We waive the fees. No surprise bills.
Is there a contract?
Yes—simple engagement letter + equity agreement. Month-to-month with standard termination rights.
Do you work with remote/distributed teams?
Yes. We support multi-state payroll and remote teams.
